FUTURIST COLLECTIVE MEMBERSHIP Terms and Conditions 1 Engagement 1.1 Thank you for choosing to attend the Futurist Collective Membership (Membership) nominated in your online order form (Order Form). 1.2 By completing the Order Form, you acknowledge that you have read these Terms and Conditions and agree that the Order Form together with these Terms and Conditions forms a contract between Wealthability Holdings Pty Ltd ATF Westerham Trust trading as Futurist Collective (us or we) and you, the person/s named in the Order Form as participant/s. 2 Fee and payment 2.1 In consideration of attending the Event, you agree to pay us the fee stated in the Order Form (Fee) in one lump sum on submission of your registration for the Event. The Fee must be paid without set off, deduction or counterclaim. 2.2 The Fee will cover your attendance for Membership for one year. 2.3 Payments made under this agreement must be made by the means specified in the Order Form. 2.4 If the Fee is not paid by any applicable due date, your attendance at the as a Member may be cancelled, and any instalment amounts previously paid by you for the Membership may not be refunded (at our election), nor will credit for such amounts be given. 3 Time and location of Membership 3.1 Your payment of the Fee to us entitles you to: (a) attend the monthly learning sessions and (b) receive a copy of any materials provided during the sessions Those materials must not be copied, modified, distributed or commercially exploited by you without the prior written consent of the owner of the intellectual property rights in such material. 3.2 We may change the speakers, the hours, the dates and/or the location of the sessions as part of the membership for any reason by notifying you in writing of the change, and detailing substitute speakers, Event hours, dates and/or location and: (a) we will have no liability to you; and (b) you may make no claim against us (including for a refund), in respect of the same. 4 Cooling-off period 4.1 If you advise us by notice in writing (including by email to: lisa@tippingpointconsultant.com.au) within 3 working days of submitting the Order Form to us that you do not wish to be a member of the Futurist Collective, then this agreement will be at an end and we will refund to you all monies you have paid to us. If a refund is due from us to you, we will process it within 30 working days. 5 Important disclosures – We do not provide investment advice 5.1 We do not: (a) provide any financial, investment, legal or tax advice or recommendations to potential investors or start ups that attend the Event; or (b) recommend or endorse any person, company or investment platform that may attend the Event. You should make your own assessment of any investment opportunity that arises as a member, and seek independent advice before committing to any investment. (c) provide any guaranteed investments or guarantees in successfully or sufficiently raising either funds. 5.2 You acknowledge: (a) that neither Wealthability Holdings Pty Ltd ATF Westerham Trust trading as Tipping Point Consultant or any of its employees, officers, agents and contractors (Relevant Persons) is an investment advisor or licensed by ASIC or any other government authority to provide investment advice; and (b) that the Relevant Persons do not purport to provide investment advice or operate an investment advice business (as defined in the Corporations Act 2001). 6 Attendance as a Member at our sessions is at your own risk 6.1 You agree that attendance as a member is at your own risk. 6.2 To the maximum extent permitted by law, you agree to release Wealthability Holdings Pty Ltd ATF Westerham Trust trading as Futurist Collective and its employees, officers, agents and contractors from all claims or loss arising from any loss, damage or injury to persons or property occurring as a result oberf being a member. 7 Indemnity 7.1 You agree to indemnify and hold harmless Wealthability Holdings Pty Ltd ATF Westerham Trust trading as Tipping Point Consultant and its employees, officers, agents and contractors (Indemnified Persons) against all claims or loss that the Indemnified Persons may suffer as a result of your breach of this agreement, your attendance at the Event, and any other cause of any kind. 8 Force majeure 8.1 If the Event is prevented or cancelled because of an act of God, an inevitable accident, fire, blackout, flood or any other calamity, or if by reason of strikes, or lockouts, or any other events beyond our direct control, then we may at our option either postpone the Event from the original date, or cancel and refund all amounts paid to us by you for the Event. 9 General terms 9.1 All notices or other communications must be made to the addresses specified in the Order Form. 9.2 The non-exercise of or delay in exercising any power or right of a party does not operate as a waiver of that power or right, nor does any single exercise of any power or right preclude any other or further exercise of it; or the exercise of any other power or right. A power or right may only be waived in writing, signed by the party to be bound by the waiver. 9.3 Should any provision of this agreement be held by a court of competent jurisdiction to be unlawful, invalid, and unenforceable or in conflict with any rule, statute, ordinance or regulation the validity and enforceability of the remaining provisions will not be affected. 9.4 This agreement constitutes the entire agreement between the parties. Any prior arrangements, agreement, representations or undertakings are superseded. 9.5 We reserve the right to alter terms and conditions, but will give you prior notice of any change. 9.6 This agreement is governed by the laws of Queensland, Australia.
